Avenews-GT Inc. and its affiliates (collectively, “Avenews”) are the providers a technological platform, intended for the collection and processing of certain data and offering of services (including third party services) in the field of agriculture and agri-business management.

 

Use of the Platform is subject to acceptance of the Platform’s Terms of Use and Privacy Policy, available at: https://www.avenews-gt.com/privacy-policy, https://www.avenews-gt.com/terms-of-use (the “Terms”).

Per your request, Avenews may provide you with some of the Services and Financial Services (as such terms are defined in the Terms) which form part of the Platform, directly and without the need to access and use the Platform. In order to receive the Services, you will be required to provide Avenews with access to certain relevant data, including personal information relating to third parties (the “Data”). It is hereby clarified that all Services provided to you, are subject to the provisions of the Terms, mutatis mutandis.

​The Data, including personal information included therein, will be maintained is strict confidentiality by Avenews and will be used solely in order to provide you with the Services or as otherwise required under applicable law. Notwithstanding the foregoing, please note that Avenews may share the Data: (i) to meet its legal obligations and to the extent required under applicable law; (ii) with its service providers (such as cloud storage service providers, as further detailed in the Terms); (iii) to the extent necessary in order to provide you with the Services (e.g., the Data may be shared with financial institutions to the extent relevant to the Services); and/or (iv) with your prior consent.

By placing your signature below, you represent and warrant on behalf of your organization, as follows:

(1) you acknowledge that you have read and understood the content of this letter and the Terms, you agree to be bound by them and to comply with all applicable laws and regulations regarding your use of the Services and you acknowledge that the Terms constitute a binding and enforceable legal contract between Avenews, you and your organization.

(2) you are the rightful owner of the Data or that you have (and will continue to have) all the necessary licenses, rights, consents, and permissions from the licensors of the Data. You hereby grant Avenews a non-exclusive, commercial and royalty-free license to use the Data as part of the Services.

(3) You shall have sole responsibility for the accuracy, quality and legality of the Data and the means by which you acquired the Data. You hereby warrants and undertakes that the Data has been collected, processed and transferred in accordance with the laws applicable to you, including, if required by applicable law, that you have received all required consents from the applicable data subjects for the processing carried out by Avenews as part of the Services and the data subjects have been informed that their personal data included in the Data can be transmitted to a third country outside their jurisdiction.

(4) The Data will be retained by Avenews for the duration of the Services and for seven (7) years thereafter. Avenews takes no responsibility and assumes no liability for the Data, and you understand that you must independently retain a copy of the Data at all times.

By providing your approval by checking the check box on the financing application form from which you have been redirected to this document, you accept and consent to this letter and represent that you possess the legal authority to execute this letter on your organization's behalf and to form a binding agreement under any applicable law between Avenews and your organization.
